1. Introduction

These Terms & Conditions (“Terms”) govern the use of our website and the provision of services by Kirkstall Commerce. By accessing our website or engaging in our services, you agree to be legally bound by these Terms. If you do not agree, please do not continue to use our services or this site.

2. Our Services

Kirkstall Commerce provides Amazon-focused consultancy and account management services, including (but not limited to):

Account setup and listing optimisation
Brand registry and protection
PPC campaign management
FBA logistics coordination
Strategic growth and launch support
Exclusive seller partnerships

The exact scope of services will be detailed in each individual agreement or proposal.

3. Engagement & Contract Period

Engagements are typically subject to a minimum 6-month agreement, unless otherwise agreed in writing. After this period, contracts may be renewed or extended on a rolling basis. Any material changes to scope or deliverables will be documented and agreed in writing.

4. Exclusivity

Where exclusivity is agreed, you acknowledge that Kirkstall Commerce will not work with any directly competing products or brands within the agreed scope and category for the duration of the contract. In return, you agree to maintain Kirkstall Commerce as the sole authorised Amazon partner or account manager for the specified listings or product lines.

5. Payment Terms

All payments are pro-forma, and services will commence only upon receipt of payment. Invoices will include VAT at 20% unless otherwise exempt.
Late or failed payments may result in a suspension of service. In cases of persistent non-payment, Kirkstall Commerce reserves the right to terminate the agreement and seek recovery of any owed amounts.

6. Confidentiality

Both parties agree to maintain the confidentiality of all commercially sensitive or proprietary information shared during the course of the engagement. This includes (but is not limited to): business plans, marketing strategies, login credentials, and customer data. This obligation remains in effect during and for 12 months after termination of the agreement.

7. Termination

Either party may terminate the agreement with 30 days’ written notice. Early termination before the initial 6-month period may be subject to a fee equivalent to the remaining agreed fees, unless otherwise mutually agreed. Any outstanding invoices must be settled in full before final disengagement.

8. Intellectual Property

All content, documents, creative assets, and strategy frameworks developed by Kirkstall Commerce during the engagement remain the intellectual property of Kirkstall Commerce unless explicitly transferred in writing. You are granted a licence to use them for the duration of your contract.

9. Limitation of Liability

Kirkstall Commerce will not be liable for:

Loss of revenue or profits resulting from Amazon algorithm changes, policy updates, suspensions, or listing removals.
Issues arising from client-side errors, false product claims, or unauthorised changes to listings.
Any indirect or consequential damages.

Our total liability shall not exceed the total fees paid to us in the 3 months preceding any claim.

10. Use of Website

You agree not to misuse this website or its content. Unauthorised copying, data scraping, or reverse-engineering of site materials is strictly prohibited. We may restrict access to the site for any misuse or breach.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.

12. Changes to Terms

We reserve the right to amend these Terms at any time. Material changes will be communicated via email or published on our website. Continued use of our services after updates indicates your acceptance of the revised terms.
